1. Acceptance of Terms

By creating an account, accessing, or using Struxen, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Struxen is a software-as-a-service (SaaS) platform that provides AI-powered construction intelligence, including but not limited to:

• STRUX: AI-powered query orchestrator for construction document analysis
• PRECON: AI agents for trade analysis and document Q&A
• NEXUS: Intelligent knowledge graph builder for construction documents
• Vantage: Floor plan spatial analysis powered by computer vision
• Sentinel: Cross-document conflict detection and resolution
• NOVAN: Preconstruction intelligence and multi-agent analysis
• CrewSense: Intelligent crew allocation and workforce planning
• ScheduleSense: AI-powered schedule optimization
• RiskSense: Predictive risk detection for budget, schedule, and safety
• Systems Explorer: Interactive graph visualization of building systems

Features and capabilities may evolve over time as we continue to develop the platform.

3. Account Registration and Security

To use Struxen, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable federal, state, local, or international law
• Infringe upon or violate our intellectual property rights or the rights of others
• Upload or transmit viruses or any other malicious code
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to transmit unsolicited advertising or spam
• Share your account credentials with unauthorized parties
• Use automated systems (bots, scrapers) without our written permission

5. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by Sapient Dynamics LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content: You retain ownership of any data, information, or content you submit to the Service (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and analyze your User Content solely for the purpose of providing and improving the Service.

6. AI and Data Usage

Struxen uses artificial intelligence and machine learning technologies to provide insights and predictions. You acknowledge and agree that:

• AI-generated insights are provided for informational purposes only
• You remain solely responsible for all project decisions and outcomes
• AI predictions and recommendations should be verified by qualified professionals
• We do not guarantee the accuracy, completeness, or reliability of AI outputs
• Your project data is NOT used to train or improve our AI models. Your data is processed solely to deliver insights and results within your account.

7. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. Subscription and Payment

Access to certain features of Struxen may require a paid subscription. By subscribing, you agree to:

• Pay all applicable subscription fees
• Provide accurate payment information
• Authorize automatic billing for recurring subscriptions

Refund Policy

Subscriptions: We offer a 14-day refund window from the date of each subscription payment. If you request a refund within 14 days of being charged, your refund will be processed.

One-time credit packs: Purchased credit packs are non-refundable once any credits from the pack have been used. Unused, unconsumed credit packs may be refunded within 14 days of purchase.

All refunds are handled by Paddle.com Market Limited (“Paddle”), our merchant of record, in accordance with Paddle's Checkout Buyer Terms.

We reserve the right to modify subscription fees with 30 days' notice to existing subscribers.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment processing, including billing, refunds, sales tax, and VAT collection, is handled by Paddle. By subscribing, you also agree to Paddle's Terms of Use and Privacy Policy.

9. Disclaimers and Limitations of Liability

NO WARRANTIES: THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAPIENT DYNAMICS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

CONSTRUCTION DISCLAIMER: Struxen provides intelligence and insights but does not replace professional engineering, architectural, or construction management services. You remain solely responsible for all project decisions, safety compliance, and regulatory adherence.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sapient Dynamics LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules.
